OVERVIEW

This website is operated by Emily's' Edit LLC, doing business as Emily’s Edit (collectively, “Emily’s Edit,” “we,” “us,” or “our”). Emily’s Edit offers this website, including all information, content, features, tools, products, and services available through it (collectively, the “Services”), to you conditioned upon your acceptance of these Terms of Service (the “Terms”). Our store is hosted by Shopify Inc., which provides the ecommerce platform that enables us to offer the Services.

These Terms, together with any policies referenced in them, govern your access to and use of the Services and any purchase you make from Emily’s Edit. Please read them carefully. By accessing or using the Services, or by placing an order, you agree to these Terms and acknowledge that you have reviewed our Privacy Policy, Refund Policy, and Shipping Policy. If you do not agree, do not use the Services or place an order.

Nothing in these Terms limits any right or remedy that cannot lawfully be limited or waived.

1. ELIGIBILITY, ACCESS, AND ACCOUNTS

By using the Services, you represent that you are at least the age of majority in your state or province of residence. If you permit a minor dependent to use the Services through a device or account you own or control, you are responsible for that use.

You agree to provide current, accurate, and complete information, including your email address and billing, payment, and shipping information. You represent that you have the legal right to provide and use that information.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. You may not transfer, sell, assign, or license your account to another person. Notify us promptly if you believe your account has been accessed without authorization.

We may suspend or terminate access to the Services where reasonably necessary to prevent fraud, abuse, unlawful conduct, or a violation of these Terms.

2. PRE-OWNED, VINTAGE, AND ONE-OF-ONE MERCHANDISE

Unless expressly identified as new, merchandise sold by Emily’s Edit is pre-owned, vintage, or previously handled. Signs of age, storage, prior use, and natural material variation should be expected. Such characteristics may include, without limitation, scratches, scuffs, creasing, patina, tarnish, fading, discoloration, rubbing, glazing wear, hardware wear, interior wear, odors, loose threads, marks, stains, or other age-appropriate characteristics.

Each item is individually sourced and most items are one of one. The photographs, videos, written description, stated condition, disclosed flaws, measurements, and list of included accessories for the exact item offered form part of its product description. Please review the entire listing before purchasing and contact us before ordering if you would like clarification or additional photographs.

We make reasonable efforts to photograph and describe each item accurately. Nevertheless:

  • Colors and textures may appear differently depending on lighting, photography, display, and device settings.

  • Measurements are approximate and may vary slightly depending on the measuring method.

  • Merchandise is not represented as free from every sign of prior ownership unless expressly stated.

  • Brand boxes, dust bags, straps, locks, keys, cards, receipts, certificates, and other accessories are included only when expressly identified in the listing.

  • An item’s age or vintage status does not guarantee continued durability. Materials may naturally change with age and use after delivery.

  • Known repairs, restoration, recoloring, replaced parts, or aftermarket components will be disclosed when known to us.

Minor wear visible in photographs or consistent with the stated condition is not, by itself, a defect or a basis for a claim that the item was materially misdescribed. This does not excuse a material inaccuracy or nondisclosure required by applicable law.

3. AUTHENTICITY

Emily’s Edit guarantees that merchandise expressly sold as authentic is authentic. We may use qualified independent authentication services, documentation, identifying codes, construction details, provenance information, or a combination of these methods in evaluating merchandise.

If you have a good-faith concern regarding authenticity, contact us promptly at emilyseditshop@gmail.com and provide the order number, a detailed explanation, photographs, and any written findings from a reputable independent authentication provider. We may request additional information and reserve the right to obtain an additional independent authentication opinion.

Any approved authenticity claim requires the return of the exact item purchased from Emily’s Edit, including all tags, accessories, certificates, and identifying features, in the same condition in which it was received, subject to any rights that cannot be waived under applicable law. If the item is determined not to be authentic, we will provide the remedy required by applicable law and our Refund Policy.

Authentication opinions may differ among providers. A marketplace removal, automated result, informal opinion, or unsupported assertion does not by itself establish inauthenticity. Nothing in this section limits a customer’s non-waivable legal rights.

4. PRODUCT AVAILABILITY AND LISTING ERRORS

Because most merchandise is one of one and may be offered through more than one authorized channel, an item can become unavailable before inventory systems update. Adding an item to a cart does not reserve it.

We may correct typographical errors, inaccuracies, omissions, pricing errors, shipping errors, or inventory errors at any time. If an item is unavailable or material information was incorrect, we may decline or cancel the order and issue a refund to the original payment method. We may also limit quantities or discontinue a product at any time.

Descriptions may be updated before purchase. The description displayed when an order is placed governs that purchase, subject to correction of obvious errors and applicable law.

5. ORDERS, ACCEPTANCE, AND CANCELLATIONS

Submitting an order is an offer to purchase. An automated order confirmation acknowledges receipt but does not necessarily constitute final acceptance. We may accept, decline, hold, or cancel an order for a legitimate business reason, including item unavailability, a pricing or listing error, suspected fraud, inability to verify authorization, payment failure, shipping restrictions, or a violation of these Terms.

Once an order has been accepted or entered fulfillment, we may be unable to approve a cancellation request. Any cancellation, return, exchange, or refund is governed by our Refund Policy and applicable law. We will notify you using the contact information submitted with the order if we decline, materially modify, hold, or cancel it.

You are responsible for reviewing the item, price, shipping address, and all other order information before submitting payment.

6. PAYMENT AND FRAUD VERIFICATION

You represent and warrant that:

  1. The payment and account information you provide is true, current, complete, and accurate.

  2. You are authorized to use the selected payment method.

  3. Charges incurred in connection with your order will be honored by the payment provider.

  4. You will pay the stated price and all disclosed shipping charges, taxes, duties, and other applicable amounts.

To protect our customers and business, we may screen orders for fraud and verify identity, payment authorization, billing information, shipping information, or purchase intent. We may contact you using the email address or telephone number provided at checkout and may request reasonable supporting information. Failure to complete requested verification within the stated time may result in cancellation and refund.

We may refuse a post-purchase shipping-address change, require shipment to an address approved through the payment transaction, or cancel and refund an order when an address or identity cannot be verified. Approval of a transaction by a payment processor does not require Emily’s Edit to accept or fulfill the order.

You agree not to initiate a payment dispute for an issue that has already been fully resolved or refunded. This provision does not waive any lawful right to dispute a charge.

7. PRICES, TAXES, AND DUTIES

Prices, promotions, and discounts may change without notice. The price applicable to an accepted order is the price shown at checkout, subject to correction of an obvious pricing error as permitted by law.

Unless expressly stated otherwise, prices do not include shipping, taxes, duties, brokerage fees, customs charges, or import expenses. Customers are responsible for amounts disclosed at checkout and, for international shipments, any additional charges imposed by the destination country or carrier unless the order expressly states that duties are prepaid.

Refusal to pay customs charges or accept a shipment does not automatically entitle the customer to a refund. Any returned international shipment will be handled according to our Refund Policy and applicable law.

8. SHIPPING, DELIVERY, AND ADDRESS RESPONSIBILITY

Our processing times and shipping practices are described in our Shipping Policy. Processing time is separate from carrier transit time. Delivery estimates are estimates, not guarantees, unless we expressly state otherwise.

You are responsible for providing a complete, accurate, and secure delivery address. We are not responsible for delay or misdelivery caused by inaccurate or incomplete information supplied by the customer. We may decline address changes or carrier rerouting after an order is placed or fulfilled.

High-value orders may require insurance, tracking, signature confirmation, or adult signature. The customer is responsible for ensuring that an authorized recipient is available. Failed delivery attempts, refusal, failure to collect a held package, or an unauthorized rerouting request may result in the shipment being returned to us. Any reshipment or refund will be handled under our Shipping and Refund Policies and applicable law; allowable original shipping, return shipping, insurance, duties, or carrier charges may be deducted where disclosed and legally permitted.

Inspect the package promptly upon delivery. If a package arrives damaged, opened, tampered with, incomplete, or containing the wrong item, contact us promptly at emilyseditshop@gmail.com with the order number, photographs of all sides of the packaging, the shipping label, internal packaging, and the item. Preserve all packaging and cooperate with reasonable carrier or insurer documentation requirements.

Carrier acceptance and delivery records, including signature records when used, may be relied upon as evidence of shipment and delivery. Confirmed delivery does not eliminate any non-waivable rights, but Emily’s Edit is not responsible for theft or loss occurring after confirmed delivery to the address supplied by the customer except where applicable law provides otherwise.

If we cannot ship within a timeframe stated before purchase, we will provide any notice, cancellation option, consent request, or refund required by applicable law. A temporary travel or fulfillment notice displayed before checkout becomes part of the stated processing timeframe for orders placed while that notice is effective.

Risk of loss and title will pass as provided by the parties’ delivery agreement and applicable law. Nothing in these Terms shifts risk to the customer where doing so is prohibited or where merchandise is materially nonconforming.

9. RETURNS, REFUNDS, AND EXCHANGES

Returns, refunds, exchanges, cancellations, authenticity claims, damaged shipments, refused deliveries, and unauthorized returns are governed by our Refund Policy, which is incorporated into these Terms.

Unless our Refund Policy or applicable law provides otherwise, all sales are final due to the unique, pre-owned, and one-of-one nature of our merchandise. Change of mind, fit, buyer’s remorse, minor condition characteristics disclosed or visible in the listing, or differences caused solely by screen display or lighting are not grounds for a return.

Do not send merchandise back without written authorization. An unauthorized return may be refused and returned to sender where legally permitted. For an authorized return, the exact item must be returned in the required timeframe and condition, with all Emily’s Edit tags and all included accessories, documentation, and packaging. Removal or alteration of a security tag, use, wear, damage, cleaning, repair, modification, substitution, or missing components may affect return eligibility to the extent permitted by law.

Nothing in an “all sales final” statement limits remedies that cannot legally be waived, including remedies that may apply when an item is counterfeit, materially misdescribed, or incorrectly shipped.

10. PERSONAL INFORMATION AND PRIVACY

Our collection and use of personal information is governed by our Privacy Policy. Certain information is also processed by Shopify and other service providers as necessary to operate the Services, process payments, prevent fraud, fulfill orders, and comply with law.

By using the Services, you acknowledge that information may be processed or stored in jurisdictions other than your own, subject to applicable privacy law and our Privacy Policy.

11. INTELLECTUAL PROPERTY

The Services and their original content, including text, graphics, logos, photographs, videos, audio, layout, selection, and arrangement, are owned by or licensed to Emily’s Edit and are protected by applicable intellectual-property laws. Third-party brand names, logos, product names, and trademarks belong to their respective owners. Their appearance on our site is for identification and descriptive purposes and does not imply affiliation, sponsorship, or endorsement.

Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable right to access and use the Services for personal, noncommercial purposes. You may not reproduce, distribute, sell, modify, republish, scrape, commercially exploit, or create derivative works from our original content without prior written permission, except as allowed by law.

12. REVIEWS, PHOTOGRAPHS, AND OTHER SUBMISSIONS

If you voluntarily submit a review, testimonial, photograph, video, comment, suggestion, or other content (“Submission”), you represent that you own or control the necessary rights and that the Submission is truthful, lawful, and does not violate another person’s rights.

You grant Emily’s Edit a nonexclusive, worldwide, royalty-free, sublicensable license to use, reproduce, adapt, publish, display, and distribute the Submission for operating, improving, and promoting the Services. This license does not transfer ownership of your Submission to us. We are not required to keep Submissions confidential, compensate you, or publish or retain them.

We may moderate or remove a Submission that we reasonably believe is unlawful, fraudulent, abusive, misleading, infringing, or unrelated. We will not condition publication of a genuine review on its being favorable, and nothing here restricts lawful consumer reviews or legally protected speech.

13. THIRD-PARTY SERVICES AND LINKS

The Services may include third-party payment systems, authentication services, carriers, social-media features, applications, tools, or links. Those services may be governed by separate terms and privacy practices. We do not control independent third parties and are not responsible for their content, availability, or conduct, except to the extent responsibility cannot lawfully be excluded.

Use of a third-party service is at your discretion. Review the applicable third-party terms before using it.

14. RELATIONSHIP WITH SHOPIFY

Emily’s Edit is powered by Shopify, which provides the ecommerce platform used to offer the Services. Purchases from our store are transactions directly between you and Emily’s Edit. Shopify is not the seller of our merchandise and is not responsible for its description, condition, authenticity, fulfillment, delivery, or use, except to the extent separately stated by Shopify or required by law.

15. PROHIBITED USES

You may not use the Services to:

  • Violate any applicable law or another person’s rights.

  • Submit false, fraudulent, misleading, or unauthorized information.

  • Impersonate another person or misrepresent your identity or authority.

  • Introduce malware or interfere with the security or operation of the Services.

  • Circumvent access controls, fraud-prevention tools, purchase limits, or security measures.

  • Scrape, harvest, or collect personal information or site content through unauthorized means.

  • Engage in spam, phishing, abusive conduct, harassment, or unlawful solicitation.

  • Use the Services in a manner that damages, disables, overburdens, or impairs them.

We may restrict or terminate access where we reasonably believe a prohibited use has occurred.

16. DISCLAIMER OF WARRANTIES

We do not exclude any express commitment made in an accepted product listing, including our express authenticity guarantee, or any warranty or remedy that cannot lawfully be excluded.

SUBJECT TO THE FOREGOING AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT THOSE WARRANTIES MAY LAWFULLY BE DISCLAIMED.

PRE-OWNED AND VINTAGE MERCHANDISE IS SOLD IN THE CONDITION DISCLOSED IN THE APPLICABLE LISTING. WE DO NOT WARRANT THAT VINTAGE OR PRE-OWNED MATERIALS WILL BE FREE FROM NORMAL AGE-RELATED WEAR OR FUTURE DETERIORATION, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

17. LIMITATION OF LIABILITY

Nothing in these Terms limits liability that cannot legally be limited, including liability arising from fraud, willful misconduct, or any other matter for which limitation is prohibited by law.

TO THE FULLEST EXTENT PERMITTED BY LAW, EMILY’S EDIT AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF OPPORTUNITY, ARISING FROM OR RELATING TO THE SERVICES OR MERCHANDISE, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PURCHASE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO EMILY’S EDIT FOR THE PRODUCT GIVING RISE TO THE CLAIM.

The exclusions and limitations in this section apply only to the extent permitted in the customer’s jurisdiction.

18. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify and hold harmless Emily’s Edit and its owners, officers, employees, agents, contractors, and service providers from third-party claims, liabilities, losses, damages, and reasonable costs arising from your unlawful misuse of the Services, your material breach of these Terms, or your violation of another person’s rights.

This obligation does not require you to indemnify Emily’s Edit for its own negligence, unlawful conduct, or breach, and it does not limit rights that cannot legally be waived.

19. SUSPENSION AND TERMINATION

We may suspend or terminate your access to the Services if you materially violate these Terms, engage in fraud or unlawful conduct, threaten the security or operation of the Services, or create material risk to Emily’s Edit or others. You remain responsible for amounts lawfully due before termination.

Provisions that by their nature should survive termination—including provisions concerning intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, disputes, and governing law—will survive.

20. GOVERNING LAW AND DISPUTES

These Terms and transactions with Emily’s Edit are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except where federal law applies or the law of the customer’s jurisdiction provides mandatory protections that cannot be waived.

Before filing a legal claim, you and Emily’s Edit agree to make a good-faith effort to resolve the dispute informally. A written dispute notice should describe the issue, relevant order number, requested resolution, and supporting information. Send notices to emilyseditshop@gmail.com and allow 30 days for a response. This informal process does not prevent either party from seeking urgent relief or pursuing a claim before a limitations period expires.

Subject to applicable law, any court proceeding arising from these Terms or a purchase from Emily’s Edit shall be brought in the state or federal courts located in Clark County, Nevada, and each party consents to personal jurisdiction and venue in those courts.

21. SEVERABILITY

If any provision of these Terms is found unlawful, void, or unenforceable, it will be enforced to the maximum extent permitted and severed only to the extent necessary. The remaining provisions will remain effective.

22. NO WAIVER; ENTIRE AGREEMENT

Failure to enforce a provision is not a waiver of the right to enforce it later. These Terms and the policies incorporated by reference constitute the entire agreement between you and Emily’s Edit concerning the Services and supersede prior communications concerning the same subject, except for an express written agreement signed by an authorized representative of Emily’s Edit.

23. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the business, subject to applicable law.

24. CHANGES TO THESE TERMS

We may update these Terms from time to time by posting the revised version and updating the “Last updated” date. Material changes will be communicated when required by law. Changes apply prospectively from their effective date and do not retroactively alter the terms governing an order already placed, except where required by law or agreed by the parties.
